Software Licence Agreement

This Software Licence Agreement ("Agreement") is between Photon Consulting Limited, trading as SquareWave Studio ("Licensor"), and you, the end user ("Licensee"). By installing or using squarewaveStudio software, you agree to be bound by this Agreement.

1. Licence Definition & Scope

Licensor grants Licensee a non-exclusive, non-transferable, revocable licence to:

  • Install and use squarewaveStudio on a personal computer or device
  • Create and manage content for Teenage Engineering OP and EP series devices
  • Use the software for personal, non-commercial purposes
  • Receive technical support as described in the Terms of Service

This licence is personal to Licensee and cannot be shared, rented, or sold.

2. Licence Activation & Key Management

  • Your licence key is unique to your purchase and must be activated within the software
  • Activation requires internet connectivity for verification
  • You may reinstall the software on the same device with the same licence key
  • Sharing licence keys or activating on multiple devices violates this licence
  • Lost or forgotten licence keys can be recovered by contacting support with proof of purchase

3. Licenced Number of Devices

Each licence of squarewaveStudio permits installation and concurrent use on a maximum of 2 personal devices owned by the Licensee (e.g., a desktop and laptop).

4. Restrictions on Use

You may not:

  • Sublicence, rent, lease, lend, or share the software with others
  • Sell, resell, or transfer your licence to any third party
  • Allow others to use your licence key or activation
  • Reverse engineer, decompile, or disassemble the software, except to the extent expressly permitted by applicable law (such as EU Directive 2009/24/EC)
  • Modify, patch, or create derivative works of the software
  • Remove or alter any proprietary notices, labels, or marks
  • Use the software for commercial purposes without a commercial licence
  • Circumvent copy protection or licence verification mechanisms
  • Use the software in any jurisdiction where it is prohibited by law

5. Intellectual Property Rights

All intellectual property rights in squarewaveStudio, including source code, documentation, graphics, and functionality, are the exclusive property of Licensor or its suppliers. You acquire no ownership rights by purchasing this licence.

Licensee may not use the Licensor's trademarks, logos, or brand names without express written permission.

5A. Interoperability & Legal Basis

This Software is developed to provide interoperability with Teenage Engineering OP and EP series devices under the legal authority of EU Directive 2009/24/EC Article 6 (Software Directive).

The Software communicates with Teenage Engineering devices using the MIDI SysEx protocol, which was discovered through lawful reverse engineering and protocol analysis of device behaviour, not by decompiling or copying Teenage Engineering's software.

All code in the Software is original and independently created. The Software does not contain any code, algorithms, or creative expressions copied or derived from Teenage Engineering's proprietary software.

Licensee Acknowledgment:

By using this Software, you acknowledge that:

  • This Software is not affiliated with, endorsed by, or supported by Teenage Engineering AB
  • Teenage Engineering is not responsible for the functionality or support of this Software
  • Use of this Software does not violate Teenage Engineering's intellectual property rights
  • The right to create interoperability software is protected under EU law

6. Output & Files Created

Multisamples, project files, and other content created by you using squarewaveStudio are your property. You may:

  • Use created files for personal, non-commercial purposes
  • Share files with others for collaborative use on the device(s) covered by your licence
  • Use created content on your Teenage Engineering OP and EP devices

You may not distribute the software itself, even if bundled with your created files.

7. Commercial Use & Licencing

This standard licence is for personal use only. If you wish to use squarewaveStudio for:

  • Music production or sound design services
  • Educational or institutional purposes
  • Resale or distribution of services created with the software
  • Multiple devices or users

You must obtain a commercial licence. Contact us at sales [at] squarewave.studio for volume and commercial pricing.

8. Updates & Maintenance

Licensor may provide updates, patches, and improvements to squarewaveStudio at no additional cost. These updates are not mandatory and may include:

  • Bug fixes and stability improvements
  • New features and functionality
  • Compatibility updates for new OS versions
  • Security patches

9. Licence Termination

This licence is valid until terminated. Licensor may terminate this licence immediately if:

  • You breach any provision of this Agreement
  • You use the software for illegal purposes
  • You attempt to circumvent licence protections
  • You file a chargeback or dispute claim

Upon termination, you must cease all use of the software and delete all copies.

10. Disclaimer of Warranties

The software is provided "as is" without warranty of any kind.

Licensor disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement of third-party rights
  • Error-free or uninterrupted operation
  • Compatibility with all systems or hardware

11. Limitation of Liability

In no event shall Licensor be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, even if advised of the possibility of such damages.

Licensor's total liability to Licensee shall not exceed the amount paid for this licence.

12. Compliance & Auditing

Licensor reserves the right to audit Licensee's use of the software to ensure compliance with this Agreement. Licensee shall cooperate with reasonable audit requests and provide documentation of licensed devices.

Unlicenced or excessive use discovered during an audit may result in licence termination and legal action.

13. No Assignment, Transfer, or Resale

This licence is strictly non-transferable and non-sellable.

Licensee may not:

  • Assign, transfer, or sublicence this licence to any third party
  • Sell or resell the licence or licence key
  • Gift, lend, or share the licence with others
  • List the licence for sale on any marketplace, forum, or website
  • Transfer the licence as part of a business or asset sale

Any attempt to assign, transfer, or resell this licence is void and will result in immediate licence termination, permanent account suspension, and potential legal action. Both the seller and buyer of an unauthorised licence transfer will have their licences revoked without refund.

14. U.S. Government Rights

If this software is used by or for the U.S. government, it is provided with restricted rights as defined in 48 C.F.R. § 227.7202-1 through 227.7202-4.

15. Entire Agreement

This Licence Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between Licensor and Licensee. This Agreement supersedes all prior understandings and agreements.

16. Governing Law & Jurisdiction

This Agreement is governed by the laws of the European Union. Any legal proceedings shall be conducted in accordance with applicable EU law.
